Special Conditions Indemnification The attendee herein, defend and hold harmless InStyle Vacations, Sterling Travel Services, it’s officers, employees, agents and affiliates (collectively “indemnities”), from and against all losses, damages, claims, costs charges, expenses (including reasonable attorney fees) and payments which any indemnities may be liable or become liable to pay which arises in any manner or otherwise relates to the services provided hereunder or pursuant to this Agreement. Force Majeure Neither party shall in any circumstances be deemed to be in breach of this Agreement or otherwise liable to the other party concerned or the failure by it to take all reasonable precautions; or Fire, flood, hurricane, earthquakes, power failure, flight delays, reduction of power supplied ( not being attributed to the willful act or willful neglect of the party concerned or the failure by it to take all reasonable precautions): or Any strike, lockout, industrial dispute or other action taken by any person, firm or company not being within the group of companies of which this party is a member. Provided that the party concerned has used its reasonable endeavors to mitigate the effect of the Force Majeure and to carry out its obligations under this Agreement in any other way that is practicable and (b) notifies the other party of any event which will or is likely to cause such failure or delay on its part immediate, such event shall come to its knowledge and confirms such notification in writing as soon as practicable thereafter.
